Job Description:

A leading state of the art environmental business in the UAE, are seeking an experienced General Counsel with a strong corporate law background, having experience in supporting a business through ongoing expansion across the region involving multiple acquisitions, and JV's. The successful candidate will be a strong leader, and possess the gravitas and business acumen to deliver on ongoing legal projects across the region as well as manage and develop a proficient legal function and team.

Responsibilities will include:

  • Provide legal support across all lines of business enabling profitable growth while mitigating legal risks and assure adherence to governance policies, ethics, and country specific laws and regulations

  • Counsels the Senior Management and other management with respect to the legal implications of the Company's major decisions, strategies and transactions.

  • Reduces the likelihood for inappropriate, unnecessary, or costly institutional liability in contractual agreements and terms or business arrangements by reviewing and/or preparing contracts and other legal documents for execution by or on behalf of the Company

  • Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures

  • Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations

  • Provides day-to-day advice and counsel to Company management and senior administrative staff with respect to matters of Company policy, risk management and, in conjunction with designated loss prevention and ethics specialists, professional responsibility matters.

  • Draft, review, and negotiate major and/or non-standard technology contracts with public and private sector customers.

  • Responds to ad hoc queries to include identification, analysis, and evaluation of risks in order to provide appropriate legal solutions.

  • Ensures company policies are accurate, current and in compliance with Emirate and Federal regulations. Reviews and updates policies as laws change.

  • Ensures compliance with trademarks, patents, intellectual property and trade secrets.

  • Researching all legislation affecting the organization and ensuring that relevant units are informed of new or proposed legislation and policy.

  • Advise on legal issues involving government and regulatory compliance.

  • Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

  • Develops and updates compliance issues in manuals, as needed.

  • Develops/modifies company forms and contracts used in business operations.

  • Assists management on general contracts, third-party agreements and vendor supplier relationships.

  • Manages external counsel and general litigation

  • Structures and manages the company’s internal legal function and staff.

  • Oversees the selection, retention, management and evaluation of all outside counsel

  • Creates business legal reports and correspondence, and effectively presents information to senior management.

  • Demonstrates deep general commercial or functional knowledge across a broad range of sub disciplines within the individual's specialty area(s), (e.g., Federal law, general corporate law, banking regulations, Islamic financing, employment law, data privacy, asset-backed financing, contract management, intellectual property, REIT, trade secrets, advertising law, registration and other resolutions specific to the Service, Real estate and technology industry)

Education/Experience Required:

To be considered for this position, candidates should meet the following criteria:

  • Bachelor’s in law (Specialization in Corporate / Commercial Law preferred)

  • Minimum of 15 years of experience in a corporate setting developing and implementing corporate legal affairs policies

  • Knowledge in the Law of the Emirate of Sharjah and United Arab Emirates

  • Excellent communication skills

  • Skills in policy writing and reviewing

  • Skills in contract drafting

  • Negotiation skills
