A large diversified investment group in the UAE are currently seeking a mid-senior level Legal Counsel to join their legal team. The role can be based from home or perhaps even your home country as the group adopt to a new remote business model for many of their teams.
The purpose of this role will be to assist in providing effective legal and contracts advice to the group and it's subsidiaries in nine jurisdictions and to ensure the group and external client processes and functions are being carried out in compliance with relevant technical, legal and contractual obligations.
Responsibilities will include:
Assist in the provision of legal and contracts advice in coordination with external lawyers and legal advisors as and when needed.
Conduct internal and external negotiations of the terms of contracts.
Assist in the procedures related to mergers and acquisitions including the due diligence, drafting the SPA, negotiating detailed terms of the SPA, and the transfer of shares.
Manage the process of establishing subsidiaries in multiple jurisdictions and manage the compliance requirements as per local laws
Co-ordinate the reporting system with legal personnel in different jurisdictions.
Prepare memorandum and articles of associations, board resolutions and shareholders resolution
Prepare legal contracts and agreements in both Arabic and English including but not limited NDA’s, joint ventures, project agreements, credit agreements, teaming agreements, MOU’s, bonds, labour contracts, lease contracts, distribution Ship agreements, Franchise agreements, real estate contracts, sale & purchase agreements, licensing agreements, supply agreements etc, when required, in coordination with the key personnel involved
Assist in overseeing compliance of group activities with the relevant applicable statutes, laws and regulations
Participate in managing corporate legal issues and matters including establishment, acquisitions, mergers etc.
Delegate Legal Advisor and Associate and oversee all the activities related to negotiating and closing of deals (as and when required)
Maintain and keep a record of relationships with law firms which in turn will provide legal and contracts support/advise to Group Division and its subsidiaries and external clients
Assist in consolidation of and processing of all legal contracts related documents for Group Division and subsidiaries and external clients
Perform any other tasks as delegated by the General Counsel or delegate as and when required
As the company are adopting a new remote business mode, there is an option for this person ot be based in their home country. Candidates who are considered for this option must be able to work UAE office hours, so candidates whose countries are within a reasonable time zone to UAE will only be considered.
To be considered for this position, candidates should meet the following criteria:
Bachelors of Law (LLB) and/or Masters in Law (LLM) or equivalent, preferably (LLM in International Law) OR A degree qualified and/or equivalent post-graduate training/ qualification in the field of Law
UK Qualified lawyers are preferred for this role, due to the nature of the work.
Minimum of 7+ years’ experience of providing quality legal advice in relation to corporate/commercial law - ESSENTIAL
Advanced knowledge of reviewing, drafting and advising on a wide range of commercial contracts - ESSENTIAL
Superior organizational and interpersonal skills and familiarity of working across a diverse range of industries.
