A dynamic and boutique law firm who’s HQ is in Dubai, is currently seeking a Senior Associate or Counsel level Attorney who can deliver excellence whilst advising on and managing large ticket M&A/Corporate transactions across the region.

The firm has been practicing for over 30years, and is very well established in the region with 4 regional offices. Their main focus area is Corporate M&A and their Corporate Partners are some of the leading Partners in the region, working on some of the most interesting and large-value transactions in the region. With a well established practice, any new candidate joining the team will be able to focus on delivering quality legal advice and excellence in general to their current portfolio of clients as well as new business.

Responsibilities will include:

  • Working closely with multiple clients (including private equity firms, government sponsored institutions, national and multinational corporations, regional funds, and corporate conglomerates) to advise on large scale, complex M&A and other corporate transactions

  • Handling front-line management of both buy and sell side mandates including drafting and negotiating key transaction documents, taking control of due diligence and disclosure exercises, and all completion mechanics

  • Advising on and drafting key transaction documents such as shareholder agreements, joint      venture agreements, share sale and purchase agreements, asset sale and purchase agreements, disclosure letters, subscription agreements, employee incentive schemes, and ancillary documentation

  • Assisting clients with corporate establishment, registration, transformation, governance and      liquidation

  • Managing projects to a budget and taking responsibility for providing high level of client      service

  • Working as part of a team including assisting with the supervision of junior and mid-level      lawyers’ work, and taking an active part in sharing knowledge and experience with the team

Education/Experience Required:

To be considered for this position, candidates should meet the following criteria:

  • 8+ years of experience in public M&A, private equity, and/or corporate transactions, with at least 4 years practicing in an international law firm setting

  • Professional Bar Qualification in either the USA or UK Jurisdictions

  • Exceptional technical, drafting, and commercial skills (especially in connection with key M&A transaction documents)

  • Prior experience of working in the Middle East is preferred, but candidates based outside the region will be considered if they have the relevant skillset and perhaps some exposure to the market from other locations. 

  • Arabic language skills are a plus but not required

  • Strong time management skills, ability to stay calm/focussed under pressure
